01 General
These terms and conditions regulate the business relationship between OneSpace Design and the client, unless other individual agreements are made in writing between the parties. By engaging OneSpace Design’s services, the client agrees to these terms.
02 Subject of Contract
OneSpace Design provides the following services based on the client’s briefing:

Trend Research & Collection Planning – Market and trend analysis to inform brand and product strategy.

Mood Boards, Color Palettes & Material Concepts – Visual storytelling and material curation for product and brand development.

Lifestyle & Performance Product Design – Conceptual and functional design of products that align with brand positioning.

Technical Sketches & Tech Pack Creation – Detailed technical documentation for product development.

Prototype Development & Product Iteration – Refinement and testing of prototypes until production stage.

Studio Portrait Photography – Concept, lighting, and retouching for personal branding and marketing imagery.

AI-Generated Content for Social Media & Campaigns – Creation of digital content for online marketing initiatives.

Interface & Experience Design – UI/UX design and digital experience solutions for web and app platforms.
All services are provided in accordance with the client’s project brief and are subject to the terms outlined in this agreement.
03 Service Fees
A binding contract comes into effect only after the client receives and signs written confirmation of the services to be provided by OneSpace Design.

In the case of fixed-price agreements, the agreed price covers all services included in the description requested by the client.

Otherwise, services are billed according to the unit price in the agreed quote or price list. Additional services or changes requested by the client must be confirmed in writing and are subject to additional charges.

All costs incurred in connection with the contract (e.g., materials, travel and accommodation, location rental, model fees) are borne by the client and are subject to applicable VAT.

If OneSpace Design engages third parties (e.g., subcontractors), the client is responsible for all third-party fees plus a handling fee of 10% of these costs.

Fees are due regardless of the project outcome. Any costs resulting from client-requested changes or contract termination are the responsibility of the client.
04 Payment Terms
All costs specified in the contract must be paid in full in advance. Payment receipt is a prerequisite for OneSpace Design’s obligation to deliver the agreed services.

Additional fees arising from changes or extra services will be invoiced upon delivery.

Payments not received within 14 days after delivery are subject to a 10% surcharge.
05 Obligation of the Client
The client must provide necessary support for OneSpace Design to fulfil contractual services, including information, data, or personnel for effective communication.
OneSpace Design is not liable for delays or incomplete services resulting from the client’s failure to cooperate in a timely manner.
06 Lead Time and Delivery of Services
Delivery dates are as agreed in writing by both parties.
OneSpace Design is not liable for delays caused by:

Force majeure (e.g., strikes, traffic disruptions, telecommunications failures)

Client-related circumstances (e.g., delayed cooperation)

Third-party delays necessary for service completion
Delays caused by the client or third parties entitle OneSpace Design to extend delivery timelines by the duration of the delay plus an appropriate planning period. Clients will be informed promptly of any delays.
07 Reservation of Ownership
All content created by OneSpace Design under the contract, including copyrights and usage rights, remains the property of OneSpace Design until full payment and contractual obligations are met.
OneSpace Design may withdraw from the contract in case of client breach, particularly in case of payment default. Clients are obliged to release OneSpace Design from contractual duties in such cases.
Reproduction or sharing of documents, portfolio samples, photographs, concepts, design proposals, price quotes, or other materials provided by OneSpace Design requires express written permission. Any breach may result in a contractual penalty payable by the client.
08 Negotiations with Third Parties
OneSpace Design is authorized to negotiate with third parties (e.g., subcontractors) on the client’s behalf under the contract. This includes negotiating usage, disposal, and access rights in the client’s interest.
